Terms of Service

1. Introduction and acceptance
1.1 These Terms of Service (“Terms”) govern your access to and use of UTIX’s websites, applications, progressive web apps, APIs, and related services (the “Platform”).
1.2 By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1.3 If you use the Platform on behalf of a company or organisation, you confirm you have authority to bind that entity, and “you” refers to that entity.
1.4 Additional terms may apply to certain features (for example, resale, crypto payments, on-chain tickets, or beta features). Where additional terms apply, we will present them to you and they will form part of the agreement.
2. Definitions
“UTIX”, “we”, “us”, “our”: UTIX Inc.
“Organiser”: a person or entity that creates, publishes, manages, markets, or sells tickets for an Event via the Platform.
“Attendee” / “Buyer”: a person who purchases, receives, holds, transfers, resells, or uses a Ticket.
“Event”: any event, experience, performance, class, conference, gathering, or occasion listed by an Organiser.
“Ticket”: a digital admission credential issued via the Platform (QR code, Apple Wallet pass, Google Wallet pass, and/or blockchain token where available).
“Order”: a transaction for one or more Tickets.
“Service Fee” / “Platform Fee”: UTIX’s fee applied to eligible transactions, currently described as 7.5% unless otherwise specified at checkout.
“Stripe Connect”: Stripe’s payment processing and connected account infrastructure used for payments and payouts.
“Resale”: the Platform’s official ticket resale mechanism (where enabled by the Organiser).
“Transfer”: an in-Platform transfer of a Ticket to another user (where enabled by the Organiser).
“Content”: any text, images, data, audio/video, branding, event listings, materials, or other content uploaded, posted, or otherwise provided through the Platform.
“Device”: any phone, scanner, browser, computer, or hardware used to access the Platform or check-in functionality.
3. UTIX’s role and the ticket contract
3.1 UTIX is a technology platform. Organisers list Events and sell Tickets using our infrastructure.
3.2 Your ticket contract is with the Organiser. Unless we explicitly state otherwise in writing, UTIX is not the seller or promoter of Events and does not control or deliver Events.
3.3 Organiser responsibilities. The Organiser is responsible for:
- providing the Event as described;
- setting Ticket prices, availability, and any taxes;
- setting and applying refund/transfer/resale policies (subject to applicable law);
- venue arrangements, staffing, health and safety, accessibility, and compliance with laws and regulations;
- customer service relating to the Event (including Event-specific issues, cancellations, and material changes).
3.4 UTIX responsibilities. UTIX provides and maintains the Platform and may provide tools for communications, ticket delivery, access control, and payment facilitation.
4. Eligibility and accounts
4.1 Age. You must be at least 18 (or the age of majority where you live) to create an account and use the Platform.
4.2 Account creation. Accounts are created using email-based verification codes (passwordless login).
4.3 Accuracy. You must provide accurate information and keep it up to date.
4.4 Account security. You are responsible for safeguarding access to your email account and Devices used to access UTIX.
4.5 Suspension/termination. We may suspend or terminate access if we reasonably believe you have violated these Terms, created risk for UTIX, other users, or payment partners, or engaged in fraud, abuse, or unlawful conduct.
5. Platform rules and acceptable use
5.1 You must not:
- use the Platform unlawfully or to facilitate unlawful events;
- attempt to bypass ticket security features (including rotating QR codes, replay protection, nonce validation, device controls, or rate limits);
- scrape or harvest data, reverse-engineer, interfere with, or overload the Platform;
- use bots to purchase Tickets or to distort inventory availability;
- sell, resell, or transfer Tickets outside the Platform where prohibited by the Organiser or law;
- upload malicious code or content, or attempt unauthorised access to systems;
- impersonate others or misrepresent your affiliation;
- harass, threaten, defame, or abuse others.
5.2 We may take action including account restriction, voiding Tickets, cancelling Orders, restricting check-in, and cooperating with law enforcement or regulators where appropriate.
6. Event listings, content, and organiser obligations
6.1 Event information is provided by Organisers. We do not guarantee the accuracy of Event listings, line-ups, schedules, or venue details.
6.2 Organiser content. Organisers must ensure their Event listings and marketing materials are accurate, not misleading, and comply with applicable advertising, consumer, and ticketing laws.
6.3 Prohibited Events. Events that are unlawful, deceptive, or that materially increase risk (fraudulent “events”, illegal sales, etc.) may be removed without notice.
7. Purchasing tickets
7.1 Checkout and charges. When you purchase Tickets, you agree to pay the total shown at checkout, including:
- Ticket price set by the Organiser;
- any taxes configured by the Organiser (e.g., VAT where applicable);
- UTIX Service Fee (and any disclosed processing or operational components included in that fee).
7.2 Payment processing. Payments are processed by third-party payment processors (primarily Stripe). UTIX does not store full card numbers.
7.3 Order confirmation. Your purchase is confirmed when payment is authorised/confirmed and the Platform issues Tickets to your account.
7.4 Currency and FX. You may be charged in the Event’s currency (GBP/EUR/USD). Your bank may apply FX fees or conversion costs.
7.5 Fraud controls. We and payment partners may apply risk checks, which may cause delays, holds, or cancellations.
8. Fees
8.1 Service Fee. UTIX charges a Service Fee on eligible transactions (currently described as 7.5% unless otherwise shown at checkout).
8.2 Fee basis. The fee basis (e.g., subtotal after discounts, plus any taxes if applicable) will be displayed at checkout and may vary by Event, region, or product feature.
8.3 Resale fee. Where Resale is enabled, a Service Fee may apply to resale purchases, shown to buyers at checkout and/or deducted from seller proceeds as disclosed in-product.
8.4 Changes. We may change fees over time. Changes apply prospectively and will be reflected at checkout or in Organiser tools before a sale.
9. Ticket delivery and access
9.1 Tickets are delivered digitally and may include:
- a dynamic QR code accessible via your account;
- Apple Wallet pass (.pkpass);
- Google Wallet pass;
- where enabled, blockchain-based ticketing (tokenised ticket or NFT).
9.2 Rotating codes and screenshots. QR codes may rotate and may include replay protections. Screenshots or forwarded images may not work.
9.3 Identity and admission. Entry may be subject to Organiser rules, venue rules, security checks, and valid identification requirements set by the Organiser or venue.
9.4 Multiple days / sessions. Some Tickets may be valid for multiple days or sessions; usage and re-entry rules are determined by the Organiser and enforced by Platform logic where supported.
9.5 Online or hybrid events. For online/hybrid events, access links may be made available within your ticket view and/or communications. Access may be restricted to Ticket holders.
10. Transfers
10.1 If enabled by the Organiser, you may transfer Tickets via the Platform by entering the recipient’s email address.
10.2 Transfers may require acceptance within a stated time window. Unaccepted transfers may expire.
10.3 Once a transfer is accepted, the recipient becomes the Ticket holder for entry purposes.
10.4 Financial responsibility. A Ticket transfer does not change who originally paid for the Ticket unless Resale occurs.
10.5 We may restrict transfers for risk, fraud prevention, or Organiser policy enforcement.
11. Resale marketplace
11.1 If enabled by the Organiser, you may list Tickets for Resale through the Platform.
11.2 Resale rules. Organisers may impose caps, floors, time windows, and eligibility limits (including “no resale”).
11.3 Settlement. Resale payments are processed via payment partners. Sellers may need a verified payout method (e.g., Stripe-connected account) to receive proceeds.
11.4 No off-platform resale. Where prohibited, you must not resell Tickets outside UTIX’s official Resale tools.
11.5 Risk and finality. Resale transactions may fail due to payment issues, verification, fraud checks, or technical problems. UTIX does not guarantee completion.
12. Refunds, cancellations, and changes
12.1 Organiser policy. Refund eligibility is determined by the Organiser’s stated policy and applicable law.
12.2 Who refunds. Refund decisions are made by the Organiser; UTIX may provide the tooling to process the refund through payment partners.
12.3 UTIX fees. UTIX Service Fees are generally non-refundable, unless required by law or where UTIX actually recovers underlying third-party fees and elects to pass them back. This treatment is disclosed at checkout.
12.4 Cancelled/rescheduled events. If an Event is cancelled or materially changed, the Organiser is responsible for offering refunds or alternatives in accordance with applicable law and their policy.
12.5 Chargebacks. If you initiate a chargeback or dispute, we and/or the Organiser may provide information to the bank/payment processor. We may suspend accounts or restrict access where we reasonably suspect misuse or fraud.
12.6 Statutory rights. Nothing in these Terms limits your statutory consumer rights that cannot be excluded.
13. On-chain / blockchain ticketing (where enabled)
13.1 Some Tickets may be represented by blockchain tokens (e.g., on Base or other supported networks).
13.2 Embedded wallets. The Platform may provision an embedded wallet via a third-party wallet provider to support tokenised tickets.
13.3 No guarantee of network availability. Blockchain networks may experience congestion, downtime, fees, or unexpected behaviour. UTIX is not responsible for third-party network failures.
13.4 Legal character. Tokenised tickets remain Tickets for admission purposes; the Organiser’s rules and these Terms still apply.
13.5 Transfers/resale. On-chain representation does not guarantee a right to transfer or resell; Organiser policy and Platform rules control.
14. Intellectual property
14.1 UTIX and its licensors own all rights in the Platform, including software, designs, logos, and trademarks.
14.2 You receive a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose.
14.3 Organisers own their Event content but grant UTIX a worldwide, non-exclusive licence to host, display, reproduce, and distribute it to operate the Platform and market Events.
14.4 You must not copy, modify, distribute, reverse-engineer, or create derivative works from the Platform except to the extent permitted by law.
15. Communications and marketing
15.1 Transactional communications. You agree to receive operational emails needed to deliver the service (e.g., OTP codes, order confirmations, tickets, refund notifications, event changes, transfer/resale notices).
15.2 Reminders. We may send event reminders. You may be able to opt out of non-essential reminders via settings or email controls.
15.3 Organiser marketing. Where Organisers use UTIX’s messaging tools, you may receive Organiser marketing communications in accordance with applicable e-marketing rules and your preferences, and with an unsubscribe option.
15.4 No SMS by default. If SMS is introduced, it will be subject to explicit consent and opt-out mechanisms.
16. Disclaimers
16.1 The Platform is provided “as is” and “as available”. We do not guarantee uninterrupted service.
16.2 UTIX does not warrant the quality, safety, legality, or suitability of any Event. The Organiser is solely responsible for Event delivery.
16.3 Some functionality may be feature-gated, region-limited, or subject to third-party availability.
17. Limitation of liability
17.1 Nothing in these Terms excludes or limits liability that cannot be excluded by law (including for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).
17.2 To the maximum extent permitted by law, UTIX is not liable for indirect, incidental, special, consequential, or punitive damages (including loss of profits, goodwill, or data).
17.3 To the maximum extent permitted by law, UTIX’s total liability for claims relating to the Platform (excluding the Organiser’s obligations for Events) will not exceed the total Service Fees paid to UTIX by you for the relevant transaction(s) giving rise to the claim, unless applicable law requires otherwise.
18. Indemnity
18.1 Organisers agree to indemnify UTIX for claims arising from their Events, content, policies, and compliance failures.
18.2 Users agree to indemnify UTIX for claims arising from their misuse of the Platform or breach of these Terms.
19. Governing law and disputes
19.1 These Terms are governed by the laws of England and Wales, unless mandatory consumer laws in your jurisdiction provide otherwise.
19.2 Courts of England and Wales will have exclusive jurisdiction for disputes, except where consumer laws grant you the right to bring proceedings in your local courts.
20. Changes to these Terms
20.1 We may update these Terms from time to time. We will update the “Last updated” date and may provide notice for material changes.
20.2 Continued use of the Platform after changes take effect constitutes acceptance.
